It’s been nearly three years since SEDAR+ launched, but despite the platform entering the toddler years, many Canadian investors are still unfamiliar with the platform and what it provides.
When it was launched in 2023, SEDAR+ consolidated and replaced the old SEDAR system, the national Cease Trade Order (CTO) database, the Disciplined List (DL) database and certain filings which at the time were made in paper. What does that mean for Canadian investors looking for disclosure information from Canadian companies, or up-to-date CTO information? Here’s a quick rundown on what information investors can currently find through the SEDAR+ platform.
Issuer profiles: This includes the current address and contact info of issuers, as well as any exchange listing they currently have
Financial filings: If you’re looking for a financial filing made by a Canadian public company you can find it on SEDAR+. This includes annual audited financial statements and interim financial statements, management’s discussion and analysis reports.
Continuous disclosure documents: In addition to financial filings, public companies in Canada are required to provide continuous disclosure under securities laws. Many of the documents and information disclosed can be found on SEDAR+. This includes material change reports, press releases announcing changes at the company, information circulars (including disclosures on executive compensation) and annual information forms.
Regulatory filings: If an issuer or company submits regulatory filings related to the sale of securities they can often be found on SEDAR+. This includes prospectuses, exempt distribution reports, and tender offers.
Disciplinary records and CTOs: If a cease trade order (CTO) is placed on a public company it will be available on SEDAR+. Using the search capability on SEDAR+ you can also find the regulatory action records of any sanctions, trading bans, or other enforcement actions against companies and individuals.
